# Security Package The security package translates an underwriting conclusion into enforceable creditor rights. Its objective is not document volume; it is priority, preservation, access to proceeds and practical enforcement for each repayment asset. ## Architecture 1. **Grant of security:** the correct owner pledges defined assets and proceeds and represents authority and lien status. 2. **Perfection and priority:** filings, possession, control, copyright recordation and local-law steps make the interest effective against relevant third parties. 3. **Collateral assignments:** [[wiki/concepts/pre-sales-collateral|distributor contracts]], [[wiki/concepts/gap-collateral|sales-agent and unsold-rights proceeds]], tax-credit, insurance and other material contracts are assigned to the legally permitted extent. 4. **Counterparty acknowledgment:** notices address payment direction, duplicate notices, amendment limits, cure rights, defenses and setoff. 5. **Control and enforcement:** account control, powers of attorney, materials access, step-in rights and authority provisions make remedies operational. ## Asset-by-Asset Closing Test For each collateral item, identify the owner, obligor, governing jurisdiction, value, proceeds path, grant, attachment evidence, perfection method, priority search, counterparty terms, control document and enforcement operator.
