# Completion Protection A completion bond or guaranty is a contractual layer designed to help an approved production reach completion and delivery—or provide the remedy stated in the executed documents. It protects a critical dependency in film and television finance, but it is not a blanket guaranty of the loan. > [!important] Why It Matters > Partially completed footage may have limited recovery value. Delivery can also be a condition to distributor payments, rights sales and other repayment sources, so a production failure can impair several assets at once. !Five-layer MediaHedge protection stack showing completion protection as one distinct layer *Conceptual view: completion protection reinforces Full Financing, Production Insurance, the Security Package and Monitoring; it does not replace them.* ## How the Protection Works 1. **Pre-bond review:** the guarantor evaluates the script, budget, schedule, key personnel, contingency, production plan and insurance package. 2. **Issuance:** the producer pays the premium, signs the completion agreement and satisfies the stated conditions for the final guaranty. 3. **Monitoring:** the guarantor receives cost, schedule and production information and may require corrective action. 4. **Intervention:** depending on the documents, the guarantor may modify the plan, replace personnel, advance completion funds or exercise takeover rights. 5. **Completion or stated remedy:** after a covered default, the guarantor may elect to complete and deliver or provide the contractually defined payment remedy. ## Platform and Risk-Bearer Check The completion company that evaluates and monitors a production may operate as a service platform, MGU or risk manager while an insurer or Lloyd's syndicate issues the instrument. Identify the platform, legal issuer, carrier or syndicate, reinsurer, claims authority and the parties with direct payment rights. A strong parent, marketplace or reinsurer name does not create direct privity unless the executed documents do. Current provider examples and ownership changes are summarized in the Media Finance Lending Landscape. ## Risk Boundaries | Risk | Primary Response | | --- | --- | | Budget overrun or failure to deliver | Completion protection, subject to its conditions and remedies | | Covered casualty, cast, equipment or property loss | Production Insurance | | Distributor or other obligor fails to pay | Obligor underwriting and targeted Surety or Credit Protection, if available | | Tax-incentive reduction or delay | Program, spend, filing, timing and tax-credit controls | | Weak audience demand or unsold-rights performance | Gap underwriting and equity risk; completion does not guarantee commercial success | ## Financier Position MediaHedge and its financing partner should be expressly protected in the operative documents when they are intended beneficiaries. The closing set should align names, covered amount, notice, cure, information, takeover, proceeds, subrogation and priority rights across the guaranty, financing, insurance, security and interparty documents. Loss-payee or additional-insured status under production insurance is not a substitute for beneficiary rights under the completion instrument. Each capacity addresses a different legal and economic interest. ## Diligence Questions - Is the final guarantor identified, authorized and financially capable? - Is the visible completion platform also the legal risk bearer, and if not, who issues, adjusts and pays under the guaranty? - Do the bonded budget, schedule and delivery requirements match the approved financing case? - Are MediaHedge and the financing partner named correctly, with direct notice and remedy rights? - What are the liability cap, exclusions, premium conditions, claim deadlines and guarantor elections? - How do takeover, materials access, account control, lien priority and subrogation work together? - Does each draw leave the project fully financed under the current cost-to-complete forecast? ## Limits and Evidence Coverage is transaction-specific. Common limitations may include uncovered events, late notice, unpaid premium, failure to maintain the approved financing or production plan, and remedies that exclude interest, fees or consequential loss. The final executed guaranty and endorsements—not a specimen or summary—determine the available protection. ## External Context Screen Australia's [Terms of Trade](https://www.screenaustralia.gov.au/getmedia/2e7f34c9-1f1c-420e-a8d6-66e984ea3c92/Terms-of-trade) say that it generally requires a completion guarantor for film and television production investments, with the decision informed by the producer, project and assessed completion risk. Its August 2025 [Narrative Content Production Guidelines](https://www.screenaustralia.gov.au/getmedia/f1a9729d-1263-4cf4-b0b5-54a6ede23340/Guidelines-Narrative-Content-Production-rev-7-8-2025-issued.pdf) also require completion-guarantor documentation for specified applications at or above an A$500,000 direct-funding request. This official Australian funding practice illustrates the institutional importance of completion risk; it does not define MediaHedge coverage, a universal threshold or the remedy in any transaction.
